Terms of Service

These Terms of Service ("Terms") govern your access to and use of Trifle, including trifle.io, app.trifle.io, related APIs, and associated services (collectively, the "Service"). By using the Service, you agree to these Terms.

1. Who We Are

The Service is provided by Trifle, Inc. ("Trifle", "we", "us", "our"), located at Krivec 1866, 96205 Hrinova, Slovakia.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for activity under your account and credentials.
  • If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscriptions, Billing, and Refunds

3.1 Paid Plans

Some features require a paid subscription. Pricing and plan details are shown on the Service at checkout.

3.2 Recurring Billing and Renewal

  • Subscriptions renew automatically unless canceled before renewal.
  • You authorize us and our payment processor (Stripe) to charge applicable fees and taxes.
  • You must maintain a valid payment method while your subscription is active.

3.3 Cancellations and Refunds

  • You may cancel at any time. Cancellation applies at the end of the current billing period.
  • Trifle offers a 30-day money-back guarantee for first-time SaaS subscription purchases. To request a refund, contact us within 30 days of the initial payment.
  • Except where required by law or this policy, paid fees are non-refundable.

3.4 Price Changes

We may update pricing from time to time. For material subscription price changes, we will provide reasonable advance notice before renewal at the new price.

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, or deceptive activities.
  • Interfere with or disrupt the Service, security, or infrastructure.
  • Attempt unauthorized access to accounts, systems, or data.
  • Reverse engineer or misuse the Service except as allowed by law.
  • Submit malware, abusive content, or content that infringes third-party rights.

5. Customer Data

  • You retain ownership of data, content, and configuration you submit to the Service ("Customer Data").
  • You grant us a non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service.
  • You are responsible for having all rights and legal bases needed to submit and process Customer Data through the Service.
  • Unless expressly agreed in writing, do not submit highly regulated data (for example, protected health information, payment card primary account numbers, or other data requiring specialized compliance controls).

6. Third-Party Services

The Service may integrate with third-party services such as Stripe, Slack, Discord, Google, and OpenAI. Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party products or services.

7. Intellectual Property

Trifle and its licensors own all rights, title, and interest in the Service, including software, branding, and content (excluding Customer Data). No rights are granted except as expressly stated in these Terms.

8. Feedback

If you provide feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation.

9. Suspension and Termination

  • We may suspend or terminate access if reasonably necessary for security, legal compliance, non-payment, or material breach of these Terms.
  • You may stop using the Service at any time.
  • After termination, provisions that by their nature should survive (including payment, disclaimers, limitations, and dispute terms) will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIFLE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) FEES YOU PAID TO TRIFLE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

12. Indemnification

You will indemnify and hold harmless Trifle and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, Customer Data, or violation of these Terms or law.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and each party consents to those courts.

14. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (for example, via email or in-product notice). Continued use of the Service after updated Terms take effect means you accept the updated Terms.
